Board Meeting Minutes: October 16, 2008

Time and Location: 7 P.M. , 1010 Old Plantation Road

Attendees: Ed Elser, Arthur Shealy, Mason Barrett, Will McGee

Absent: Louvenia Matthews, Pat Carpenter

Others Present: None

Proceedings:

• Ed Elser contacted teachers at North Augusta Elementary (NAE) about applying for needs funding.
o To date, two teachers have requested funding for 5 items
• Checking account established at Wachovia by Ed Elser
o No fee account for non-profits
• An account has been established with Pay Pal for on-line transactions
• Arthur Shealy is reviewing the Articles of Incorporation
• Proposed by-laws were introduced and partially reviewed
o Article II to be struck from by-laws
o Will volunteered to purchase By-Laws kit for non-profits from Kitco.org
• Fliers to be distributed at NAE for the IPod Shuffle giveaway
o Ed to condense flier, make copies and give to NAE
o NAE has agreed to send fliers home with students
• Elections were conducted
o Directors: Ed Elser, Arthur Shealy, Mason Barrett, Will McGee
o President: Arthur Shealy
o Vice President: Mason Barrett
o Secretary: Will McGee
o Executive Director: Ed Elser
• Motion presented to require Ex Dir to file 501c3 application and ratify Tax ID Number; seconded and passed.
• Meeting adjourned 8:50 PM
